How can foreign companies establish a place of business in India?

Any foreign company can establish its place of business in India by filing eForm FC-1 (Information to be filed by foreign company).

Note: The eForm needs to be digitally signed by authorized representative of the foreign company. There is no need to apply and obtain DIN for Directors of a foreign company. However, it is mandatory to register the DSC of the authorized representative of the foreign company via associate DSC service available at MCA portal.

v JV/Wholly Owned Subsidiary as

(i)      Private Limited or

(ii)    Public Limited Company, s.t. Companies Act, 2013

2. Foreign Company**

v   Liaison Office To represent the parent company in India

v Branch Office To  undertake  activities  such as Export, Import, research, consultancy etc.

v  Project Office Activities as per contract to execute project

3. Limited Liability Partnership

Subject to provisions of LLP Act, 2008 FDI permitted under automatic route in LLPs operating in sectors/ activities where 100% FDI is allowed, through the automatic route and there are no FDI-linked performance conditions*

Documents required to start a Business in India

§   KYC

§   Photo of all Member, Directors, Partners/Proprietor.

§  Pan Card  of all Member, Directors,  Partners/ Proprietor  (Not mandatory for Foreign Directors)

§  ID proof of  all  Member, Directors,  Partners/Proprietor  (like Aadhar Card or Voter Card or Passport or Driving licence)

§   Address Proof of registered office (like Electricity Bill or if any other)

 

§   Passport Mandatory for foreign investors, and must in English language.
